Description

  • Other Transactions are transactions other than contracts, grants, or cooperative agreements that are flexible in order to accomplish various legal purposes.

    Other transactions for research are cost shared agreements that support basic, applied and advanced research.

    Other Transactions for Prototype under Section 845: A noncontractual instrument used for prototype development relevant to a weapon system or weapon. This type of Other Transaction is for the acquisition of goods and services for the direct benefit of the government where cost sharing is not required.

Features/Characteristics

  • Other Transactions are not subject to statutes and regulations that apply specifically to contracts, grants, and cooperative agreements. Mechanism is used only when a standard contract, grant or cooperative agreement is not feasible.

I.P. and Resource Commitment

    • To the extent practicable, government funds shall not exceed total amount provided by other parties (50/50 cost share) – the exception is Other Transactions for Prototype Development.
    • Patent rights for inventions subject to negotiation.
    • Not required to comply with the Bayh-Dole patent law.
    • Government purpose license rights clause is negotiable.
    • Government has march-in rights.
